Welcome to Talkspot. These Terms and Conditions (“Terms”) govern the use of the Talkspot mobile application and related services (the “Service”) provided by Rose One Inc. (“we,” “us,” or “our”).

By creating an account or using the Service, users agree to these Terms.

1. Eligibility

Users must be at least 18 years old to use the Service.

By using Talkspot, users represent and warrant that they:

  • Meet the minimum age requirement

  • Have legal capacity to enter into these Terms

2. User Accounts

When creating an account, users agree to:

  • Provide accurate information

  • Keep account information updated

  • Maintain confidentiality of login credentials

  • Accept responsibility for all activity under their account

3. User Conduct

Users may not use Talkspot to engage in, promote, encourage, facilitate, or solicit illegal activities.

Prohibited activities include:

Illegal or Dangerous Activity

  • Violence or threats of violence

  • Terrorism or incitement

  • Illegal drug transactions

  • Commercial sex activities

  • Weapons sales

  • Stolen property

  • Counterfeit goods

  • Contraband

Exploitation and Abuse

  • Child sexual abuse material (CSAM)

  • Human trafficking

  • Sexual exploitation

  • Coercive behavior

Fraud and Financial Crimes

  • Fraud

  • Scams

  • Phishing

  • Identity theft

  • Money laundering

  • Unauthorized financial solicitation

Harmful Content

  • Harassment

  • Threats

  • Hate speech

  • Defamation

  • Sexually explicit content

  • Abusive material

User Misconduct

  • Stalking

  • Doxxing

  • Impersonation

  • Exploitation of users

Technical Abuse

  • Unauthorized access attempts

  • Scraping

  • Data harvesting

  • Reverse engineering

  • Malware distribution

  • Spam

  • Viruses

  • Unsolicited commercial messaging

Talkspot maintains zero tolerance for illegal activity and abusive behavior and may cooperate with law enforcement when legally required.

4. User-Generated Content

Users retain ownership of content posted to the Service (“User Content”).

By posting content, users grant Talkspot a:

  • Worldwide license

  • Non-exclusive license

  • Royalty-free license

This license allows Talkspot to:

  • Host content

  • Display content

  • Distribute content

  • Use content solely for operating and promoting the Service

Users are solely responsible for their content and confirm they possess the necessary rights.

5. Reporting Content

Users may report content that violates these Terms directly within the app by selecting:

Reports may be submitted for:

  • Illegal content

  • Harassment

  • Threats

  • Hate speech

  • Sexual content

  • Abusive material

  • Other objectionable content

Reports are reviewed promptly by the moderation team.

  • Description of the incident

6. Blocking Users

Users may block others through:

  • Posts

  • Comments

  • Profiles

After blocking:

  • Direct messages are disabled

  • Posts and comments are hidden

  • User activity is removed from feeds

Blocked users may be restored through account settings.

7. Moderation and Enforcement

Talkspot is not required to pre-screen all content.

However:

  • Reported violations are reviewed promptly

  • Violating content may be removed within 24 hours

  • Accounts may be suspended or permanently banned immediately

Enforcement applies to:

  • Illegal activity

  • Objectionable content

  • Abusive behavior

No prior notice is required.

8. Account Termination

Talkspot may suspend or terminate access at any time for violations of these Terms.

Users may delete accounts by:

  • Using the Delete Account option in-app

  • Emailing:

Upon termination:

Access to the Service ends immediately.

  • Section 9 – Third-Party Services

  • Section 10 – Disclaimers

  • Section 11 – Limitation of Liability

  • Section 12 – Indemnification

9. Third-Party Services

Talkspot uses third-party providers including:

  • Supabase

  • Apple

  • Google

  • Cloudflare

  • Mapbox

These services may provide:

  • Authentication

  • Mapping

  • Infrastructure

  • Platform support

Use of those services remains subject to their own policies and terms.

Talkspot is not responsible for third-party services.

10. Disclaimers

The Service is provided:

“As Is” and “As Available.”

No warranties are provided, including:

  • Merchantability

  • Fitness for a particular purpose

  • Non-infringement

Talkspot does not guarantee:

  • Continuous availability

  • Security

  • Error-free operation

11. Limitation of Liability

To the maximum extent permitted by law:

Rose One Inc., its affiliates, officers, employees, and directors are not liable for:

  • Indirect damages

  • Incidental damages

  • Special damages

  • Consequential damages

  • Punitive damages

  • Loss of profits

  • Loss of revenue

  • Loss of data

This applies regardless of legal theory, including contract or tort claims.

12. Indemnification

Users agree to indemnify and hold harmless Rose One Inc. and affiliates from claims, damages, expenses, or losses arising from:

  • User Content

  • Use of the Service

  • Violations of these Terms

This includes reasonable attorney fees.

13. Governing Law

These Terms are governed by the laws of the State of Texas, United States.

Any disputes relating to the Service shall be resolved exclusively in:

  • Texas state courts

  • Texas federal courts

Users consent to jurisdiction in those courts.

14. Changes to These Terms

Talkspot may update these Terms periodically.

Material changes may be communicated through:

  • In-app notifications

  • Email notifications

Continued use of the Service constitutes acceptance of updated Terms.
